GENERAL TERMS AND CONDITIONS (T&C)

1. General Provisions
We provide services to both commercial and non-commercial clients. When placing an order (by telephone, e-mail or via our online order form), the client must indicate whether they are acting as a business, a freelancer or a private consumer.

These Terms and Conditions apply to all present and future contracts, services and offers. They take precedence over any conflicting purchasing terms supplied by the client. In addition, the relevant statutory provisions apply. The client’s purchasing terms become binding only if we confirm them in writing before the contract is concluded.

A contract is formed upon our order confirmation (usually by e-mail). If no confirmation is issued, the contract is deemed concluded at the latest when the client accepts the first service rendered. Statements on prices, scope of services or assurances are binding only if confirmed in writing; this also applies to information on our website or in promotional materials.

Unsere nachstehenden Geschäftsbedingungen gelten für alle aktuellen und zukünftigen Vertragsverhältnisse, Dienstleistungen und Angebote. Sie gehen allen widersprechenden Einkaufsbedingungen des Kunden vor. Ergänzend gelten die einschlägigen gesetzlichen Vorschriften. Einkaufsbedingungen des Kunden sind nur dann verbindlich, wenn wir diese vor Vertragsschluss schriftlich bestätigen.

Der Vertrag kommt durch unsere Auftragsbestätigung (in der Regel per E-Mail) zustande. Erfolgt keine Bestätigung, so gilt der Vertrag spätestens mit der Annahme der ersten Leistung durch den Kunden als abgeschlossen. Angaben zu Preisen, Leistungen oder Zusicherungen sind nur dann verbindlich, wenn sie schriftlich bestätigt werden. Dies gilt auch für Informationen auf unserer Website oder in Werbematerialien.

2. Prices and Terms of Payment
All prices are quoted in euros (€) and, unless expressly agreed otherwise, are fixed prices. The prices listed in the price schedule valid at the time the contract is concluded apply. Any additional costs arising after conclusion of the contract may be charged to the client.

Payment is due, as agreed, either in advance or no later than 14 days after the invoice date without deduction. Default occurs automatically once this period expires; no further reminder is required. Timely payment is determined by the date the amount is credited to our account. Bank charges or other transfer fees are borne by the client.

In the event of default, reminder fees of € 5.00 per notice apply, in addition to the statutory default interest. We reserve the right to suspend services or require advance payments if there are justified doubts about the client’s solvency.

3. Offers
Our offers are non-binding and subject to change without notice.

4. Performance of Services
Any execution periods stated by us are non-binding unless expressly agreed otherwise in writing. The period does not begin until we have received all documents and information required to perform the service and any agreed advance payment has been credited.

If delays arise due to unforeseen circumstances (e.g., force majeure, governmental actions, industrial disputes), the execution period is extended accordingly. If such circumstances render performance impossible, we are entitled to withdraw from the contract. Claims for damages by the client in these cases are excluded.

5. Warranty
Obvious defects or deviations in the service rendered must be reported in writing without undue delay, but no later than three (3) calendar days after performance. Hidden defects must likewise be reported in writing without undue delay, but no later than three (3) calendar days after discovery. Otherwise, the service shall be deemed accepted as free of defects.

Where a defect notice is justified, we have the right to remedy the defect. If the remedy fails, the client may choose either a reasonable reduction in price or withdrawal from the contract.

6. Liability
Our liability is limited to losses that we could reasonably have foreseen as a possible consequence of a breach of duty at the time the contract was concluded, or that we should have foreseen using ordinary care.

Any advisory services rendered outside the agreed contractual scope are provided free of charge and without liability. The place of performance and exclusive place of jurisdiction for all disputes is Recklinghausen, Germany. German law applies.

7. Final Provisions
Should any provision of these Terms and Conditions be or become invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that most closely reflects the economic intent of the original.
